1. AGREEMENT TO TERMS

These Terms and Conditions constitute a legally binding agreement between you, whether personally or on behalf of an entity ("You") and Dutchess Management LLC, doing business as Kuiper ("Kuiper", "We", "Us", or "Our"), concerning your access to and use of our AI and machine learning services powered by large language models (LLMs) and our technology infrastructure (collectively, the "Services").

We are registered in New York, United States and have our registered office at 757 Third Ave 27A, New York, NY 10022.

2. SERVICES AND INFRASTRUCTURE

We provide AI-powered services utilizing modern cloud infrastructure, advanced machine learning capabilities, and enterprise-grade security measures.

Our services are built on industry-standard cloud platforms and utilize modern web technologies, secure data storage solutions, and advanced AI processing capabilities.

4. FEES AND PAYMENT

You agree to pay all charges at the prices then in effect for your purchases. We bill through secure payment processors and accept the following forms of payment:

  • Major credit cards
  • Wire transfers
  • Purchase orders (for enterprise customers)

All payments shall be in U.S. dollars.

5. SERVICE AVAILABILITY AND PERFORMANCE

5.1 Infrastructure Reliability

5.2 Service Level Expectations

  • We strive to maintain high availability for all core services
  • Scheduled maintenance windows will be communicated in advance

6. PROHIBITED ACTIVITIES

You agree not to:

  • Attempt to bypass our security measures
  • Reverse engineer any portion of our technology
  • Conduct unauthorized security testing
  • Exceed prescribed usage limits
  • Use our services for any illegal purposes
  • Interfere with other users' access to the services

7. INTELLECTUAL PROPERTY

The Services, including all associated intellectual property rights, are and will remain our property. This includes our proprietary technology, algorithms, and infrastructure configurations.

You retain all rights to:

OUR TOTAL LIABILITY FOR ANY CLAIMS UNDER THESE TERMS SHALL BE LIMITED TO THE AMOUNT YOU PAID US IN THE 12 MONTHS PRIOR TO THE CLAIM.

10. COMPLIANCE AND REGULATIONS

The Services are not designed to comply with industry-specific regulations (HIPAA, FISMA, etc.). You may not use the Services in a way that would require such compliance.

11. TERM AND TERMINATION

These Terms remain in effect until terminated by either party.

We may terminate or suspend your access immediately if you violate these Terms.

12. GOVERNING LAW AND JURISDICTION

These Terms are governed by New York law. Any disputes shall be resolved in the courts of New York, New York.
